These Terms of Service ("Terms") govern your access to and use of Spotly (the "Service"), an AI assistant that replies to Instagram direct messages and comments on Instagram accounts you connect. By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
You must be at least 18 years old and able to form a binding contract to use the Service. By using it, you represent and warrant that you meet these requirements and that all information you provide is accurate.
Spotly connects to an Instagram professional account you authorize and, on your behalf, reads incoming messages and comments and sends automated replies generated by an AI model. You control its behavior through your settings, and you can pause it at any time. You are responsible for the account you connect and everything sent from it.
We may offer a free trial. Unless you cancel before the trial ends, a paid subscription may begin at the then-current price. Paid plans renew automatically each billing period until cancelled. You can cancel at any time through your billing settings; cancellation takes effect at the end of the current period. Except where required by law, payments are non-refundable. Prices may change with notice.
The Service relies on third parties including Meta / Instagram, our AI provider, our hosting and database providers, and our payment processor. Your use of the Service is also subject to their terms, and we are not responsible for their acts, outages, or changes.
We own the Service and all related software and content, excluding your data and content. You retain ownership of your content and grant us a limited licence to process it solely to operate the Service for you.
The Service is provided "as is" and "as available", without warranties of any kind, whether express or implied. We do not guarantee any particular results, uptime, message deliverability, or that automated replies will be accurate or appropriate in every case. You are responsible for reviewing the assistant's behavior.
To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill. Our total liability for any claim relating to the Service will not exceed the amount you paid us in the three (3) months before the event giving rise to the claim.
You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you breach these Terms or if required to protect the Service or comply with law. On termination, your right to use the Service ends; some provisions survive by their nature.
We may update these Terms from time to time. If we make material changes, we will take reasonable steps to notify you. Your continued use after changes take effect means you accept the updated Terms.
